If the Force Majeure Event continues for a period exceeding 30 days, either party may terminate the affected order or agreement upon written notice to the other party. This clause does not excuse your obligation to pay for products already shipped or services already provided.

No analysis

Our fragrances are crafted with care and expertise. By purchasing our products, you agree not to reverse engineer, analyze, or reproduce our formulas, ingredients, or manufacturing processes for any purpose.

 

Indemnification

By using our products, you agree to indemnify and hold Maison Saint Charles, LLC, its affiliates, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of our products, violation of any terms, or infringement of third-party rights.

 

Attorneys’ Fees

In the event of any legal dispute arising from this agreement, the Seller shall be entitled to recover all costs incurred in enforcing the Agreement and in collecting sums owed, including attorneys’ fees.

 

Assignability

This agreement shall not be assigned by either party without the prior written consent of the other.

 

Severability

If any provision of these terms and conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remaining terms and conditions, which shall remain in full force and effect.

 

Non-Waiver

No delay or failure by either party to exercise any right under this Agreement, and no partial or single exercise of that right shall constitute a waiver of that or any other right.

 

Governing Law

The terms and conditions shall be governed by and construed in accordance with the laws of the State of Indiana.
